Abstract
Certainly there are problems in the present situation of corporate governance in Japan. A change in corporate governance in Japan will be inevitable. It must become more transparent. However, it will not be the American type of corporate governance that companies in Japan should aim for, be¬cause Japanese society has a tradition of "productivism" and the American style of corporate govern¬ance has serious defects. Mainly based on the arguments of two representative researchers in Japan (Professor Itami and Professor Iwai), the problems that the American style of corporate governance involves are clarified. The paper concludes that the Japanese style of corporate governance will grad¬ually change in the future, but its basic features will remain the same. (original abstract)
